InterPrivate II Acquisition Corp. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2021 (the “Q2 2021 Form 10-Q”) by the prescribed due date because the Registrant’s independent registered public accounting firm is in the process of completing the review of the financial statements for the quarter ended June 30, 2021 and will need additional time to complete its review of such financial statements. The Registrant anticipates that it will file its Form 10-Q within the five-day grace period provided by Exchange Act Rule 12b-25.
