          trade on the OTCQB  platform  maintained  by the
          OTC Markets  Group,  Inc.  The Company does not
          intend to register  its shares  under the
          Securities Exchange Act.

          Business  Corporation Act, distributions are in
          the discretion of a corporation's directors. The
          Colorado  Business  Corporation  Act does not have
          any  provision allowing  a   corporation's
