Represents 37,405,239 shares of the Registrant’s common stock, no par value per share (“Common Stock”), consisting of (i) 31,837,181 shares of Common Stock issued in connection with the transactions (as defined in the registration statement to which this exhibit is attached) that are currently issued and outstanding and (ii) up to 5,568,058 shares of Common Stock to be issued in connection with the transactions if certain Common Stock closing price thresholds are met.
