The Registrant is unable to file its Form 10-K for the year ended December 31, 2021 within the prescribed time period without unreasonable effort or expense because the Registrant needs additional time to prepare and finalize the financial statements for the period ended December 31, 2021. The Registrant anticipates that it will file its Form 10-K within the fifteen-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

For the year ended December 31, 2021, we had a net income of approximately $1 million which was comprised of interest income of approximately $12,000 from marketable securities held in our trust account, unrealized gain on change in fair value of warrants of approximately $4 million, less operating costs of approximately $1 million, and other expense relating to fair value exceeding amount paid for warrants of approximately $1 million. For the period from September 23, 2020 (inception) through December 31, 2020, we had a net loss of approximately $3,000 which pertains solely to operating costs. The amounts reported above are still under review by the Registrant’s independent registered public accounting firm and accounting staff and may differ once reported in the Form 10-K to be filed by the Registrant.
