Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On May 23, 2024, Newbury Street Acquisition Corporation (the “Company”) received an additional delinquency notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that, in addition to the delayed Form 10-K for the fiscal year ended December 31, 2023, the Company’s failure to timely file the Form 10-Q for the quarterly period ended March 31, 2024 with the Securities and Exchange Commission (the “SEC”), in contravention of Nasdaq Listing Rule 5250(c)(1) (the “Filing Rule”), could serve as an additional basis for delisting from Nasdaq. The Company previously addressed its plan to evidence compliance with the Filing Rule at a hearing before the Nasdaq Hearings Panel and expects to file the delayed periodic reports with the SEC as soon as practicable.
