Company overview

We are a late-stage biotechnology company focused on developing and commercializing transformative treatments for patients with serious immunological diseases. Our lead product candidate, atacicept, a self-administered fusion protein that blocks both B lymphocyte stimulator, or BLyS, and a proliferation-inducing ligand, or APRIL, is currently being evaluated for the treatment of immunoglobulin A nephropathy, or IgAN. The Phase 2b ORIGIN clinical trial of atacicept (n=116) met its primary endpoint of UPCR reduction vs. placebo of the pooled 75 mg and 150 mg dose groups at 24 weeks, and also achieved statistical significance in the 150 mg dose group, which has been selected as the dose for a phase 3 clinical trial, subject to and following discussion with the U.S. Food and Drug Administration, or FDA. In a prespecified per-protocol analysis that excluded 14 patients who had protocol violations identified by a blinded third-party clinical research organization, the atacicept 150 mg dose group achieved a 41% mean reduction in proteinuria versus baseline and a 34% delta versus placebo (p=0.025). With interim data at Week 36, the atacicept 150 mg dose group achieved a 47% mean reduction in proteinuria from baseline and a 48% delta versus placebo. Atacicept also was generally well-tolerated in IgAN patients, with a safety profile similar to placebo. We plan to initiate a pivotal Phase 3 clinical trial for atacicept in IgAN in the first half of 2023. Based on positive feedback from the FDA’s review of clinical results of a Phase 2 clinical trial of atacicept in high disease activity patients with systemic lupus erythematosus, or SLE, we have initiated, but not yet begun enrollment for, the Phase 3 COMPASS clinical trial of atacicept in lupus nephritis, or LN, a severe manifestation of SLE. In December 2021, we obtained worldwide, exclusive development and commercial rights from Amplyx, a wholly owned subsidiary of Pfizer, to MAU868, a potentially first-in-class monoclonal antibody to treat BK virus, or BKV, infections. MAU868 is a neutralizing monoclonal antibody that is directed against BKV, a polyoma virus that can have devastating consequences in certain settings such as kidney transplant and hematopoietic stem cell transplant. A full analysis of Phase 2 data in BK viremia among kidney transplant recipients presented in November 2022 at the American Society of Nephrology Kidney Week conference showed that MAU868 was well tolerated and demonstrated a clinically significant reduction of virologic activity. We believe that our current pipeline programs leverage the deep expertise of our team and have strong commercial synergies. We currently hold global rights to all of our pipeline programs.

Financial update

Our financial statements for the quarter ended December 31, 2022 will not be available until after this offering is completed and consequently will not be available to you prior to investing in our Class A common stock offered in this offering. Based upon preliminary estimates and information available to us as of the date of this prospectus supplement, we expect to report that we had approximately $114.7 million of cash, cash equivalents and marketable securities as of December 31, 2022. We have not yet completed our quarter-end financial close process for the quarter ended December 31, 2022. Recent development

We are continuing to rapidly advance atacicept into pivotal Phase 3 development, which is anticipated in the first half of 2023, subject to and following discussions with the FDA. The full data sets from the ORIGIN clinical trial will be presented at upcoming medical congresses. We plan to prioritize and focus current resources on the advancement of atacicept in IgAN into a pivotal Phase 3 trial, extending cash runway to the fourth quarter of 2024. This updated cash runway guidance assumes a delay in enrollment in the pivotal Phase 3 trial for LN, and a delay of commitment of resources to the MAU868 program until regulatory agreement is reached regarding the pivotal Phase 3 program for the treatment of BK viremia in kidney transplant recipients.

We estimate that our net proceeds from this offering will be approximately $93.5 million, or approximately $107.6 million if the underwriters’ option to purchase additional shares of our Class A common stock from us is exercised in full, in each case, after deducting underwriting discounts and commissions and estimated offering expenses payable by us.

We do not intend to pay dividends on our Class A common stock so any returns will be limited to the value of our stock.

We have never declared or paid any cash dividend on our capital stock. We currently anticipate that we will retain future earnings for the development, operation and expansion of our business and do not anticipate declaring or paying any cash dividends for the foreseeable future. In addition, the terms of our Loan and Security Agreement, dated December 17, 2021, as amended, with Oxford Finance LLC, or Oxford, place certain limitations on our ability to pay cash dividends without the consent of Oxford. Use of Proceeds

We estimate that the net proceeds from our issuance and sale of shares of our Class A common stock in this offering will be approximately $93.5 million, or approximately $107.6 million if the underwriters exercise their option to purchase additional shares of our Class A common stock in full, in each case, after deducting underwriting discounts and commissions and estimated offering expenses payable by us.

We currently intend to use the net proceeds from this offering, together with our existing cash and cash equivalents, to fund our Phase 3 clinical trial of atacicept in IgAN and the remainder for general corporate purposes, including working capital, operating expenses and capital expenditures.

These information reporting requirements apply even if no withholding was required (because the distributions were effectively connected with the holder’s conduct of a U.S. trade or business, or withholding was reduced or eliminated by an applicable income tax treaty) and regardless of whether such distributions constitute dividends. This information also may be made available under a specific treaty or agreement with the tax authorities in the country in which the non-U.S. holder resides or is established. Withholding on foreign entities

Company overview

We are a late-stage biotechnology company focused on developing and commercializing transformative treatments for patients with serious immunological diseases. Our lead product candidate, atacicept, a self-administered fusion protein that blocks both B lymphocyte stimulator and a proliferation-inducing ligand is currently being evaluated for the treatment of immunoglobulin A nephropathy in the Phase 2b ORIGIN trial, which we expect will complete enrollment in mid-2022 and report topline results in the fourth quarter of 2022. If the data from this trial are positive, we plan to initiate a pivotal Phase 3 clinical trial in 2023. We plan to initiate the Phase 3 COMPASS clinical trial of atacicept in lupus nephritis, a severe renal manifestation of systemic lupus erythematosus, or SLE, based on positive feedback from the U.S. Food and Drug Administration’s review of promising clinical results in a Phase 2 clinical trial of atacicept in high disease activity patients with SLE. In December 2021, we obtained worldwide, exclusive development and commercial rights from Amplyx Pharmaceuticals, Inc., a wholly owned subsidiary of Pfizer, for MAU868, a potentially first-in-class monoclonal antibody to treat BK virus, or BKV, infections. We believe MAU868 is the only clinical-stage neutralizing monoclonal antibody that is directed against BKV, a polyoma virus that can have devastating consequences in certain settings such as kidney transplant and hematopoietic stem cell transplant. In an interim analysis of Phase 2 data in BK viremia among kidney transplant recipients, MAU868 was shown to be well tolerated and demonstrated a clinically significant reduction of virologic activity. We expect to share full results from the interim analysis in June 2022 and expect to initiate a Phase 2b or Phase 3 clinical trial in 2023. We believe that our current pipeline programs leverage the deep expertise of our team and have strong commercial synergies. We currently hold global rights to all of our pipeline programs.

General

Our authorized capital stock consists of 500,000,000 shares of Class A common stock, par value $0.001 per share, 14,600,000 shares of Class B common stock, par value $0.001 per share, and 10,000,000 shares of preferred stock, par value $0.001 per share. Common stock

Voting rights and conversion rights

The holders of our Class A common stock are entitled to one vote per share of Class A common stock on any matter that is submitted to a vote of our stockholders and holders of our Class B common stock are not entitled to any votes per share of Class B common stock, including for the election of directors.
