PropertyGuru Pte. Chief Executive Officer Hari Krishnan is confident of completing its merger with a U.S. blank-check company this quarter, despite signs of investor exhaustion toward special purpose acquisition companies.

The online real estate marketplace in July unveiled plans to merge with Bridgetown 2 Holdings Ltd., a blank-check company backed by billionaires Richard Li and Peter Thiel, in a $1.8 billion deal. The arrangement will include a private investment in public equity, or PIPE, of about $100 million from investors including Baillie Gifford, Naya, REA Group Ltd., Akaris Global Partnersand one of Malaysia’s largest asset managers.

“We remain confident in the readiness of this business to go public, as well as the partners who help us get there,” Krishnan said in an interview with Bloomberg TV’s Haslinda Amin and Rishaad Salamat.

Backed by TPG Capital and KKR & Co., PropertyGuru has benefited from a pandemic-induced real estate boom that pushed Singapore’s home prices to record highs, with revenues increasing 17.9% year-on-year, Krishnan said.

Southeast Asia’s largest real estate marketplace is attempting to list at a challenging time. After a flurry of listings last year, the SPAC market has now been hit by waning investor interest, a crackdown by the U.S Securities and Exchange Commission and falling stock prices.

Grab Holdings Ltd., Southeast Asia’s biggest ride-hailing and delivery company, plummeted 69% from November’s highs as a SPAC to close Friday at $5.32. It was the largest special purpose acquisition company deal.

PropertyGuru, founded by Steve Melhuish and Jani Rautiainen in 2007 to help Singapore residents to search for real estate online, has become a household name in the city-state. The company has since expanded to countries including Indonesia and Thailand, commanding more than 90% market share in Malaysia and 70% in Vietnam, Krishnan said.

Rising interest rates are deflating markets but Krishnan remains optimistic that urbanization, increasing digitalization, and an emerging middle-class could spur demand for real estate.

“These increasingly affluent people moving to cities and towns in our countries are going to need homes,” he said. “They are going to look for digital solutions.”

About Key Performance Metrics and Non-IFRS Financial Measures

Engagement Market Share is the average monthly engagement for websites owned by PropertyGuru as compared to average monthly engagement for a basket of peers calculated over the relevant period. Engagement is calculated as the number of visits to a website during a period multiplied by the total amount of time spent on that website for the same period, in each case based on data from SimilarWeb.

Number of agents in all Priority Markets except Vietnam is calculated for a period as the sum of the number of agents with a valid 12-month subscription package at the end of each month in a period divided by the number of months in such period. In Vietnam, number of agents is calculated as the number of agents who credit money into their account within the relevant period. When counting in aggregate across the PropertyGuru group, in markets where PropertyGuru operates more than one property portal, an agent with subscriptions to more than one portal is only counted once.


Number of real estate listings is calculated as the number of listings created during the month for Vietnam and total listings at the end of the previous month for other markets.

This document also includes references to non-IFRS financial measures, namely Adjusted EBITDA and Adjusted EBITDA Margin.
