On November 14, 2022, Great Elm Group, Inc. (the “Company”) issued the press release and published the presentation furnished as Exhibits 99.1 and 99.2, respectively, to this report.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
 

Effective November 14, 2022, the Board of Directors of the Company amended and restated the Company’s Bylaws (the “Amended and Restated Bylaws”), effective immediately, to add an exclusive forum selection provision so that, unless the Company consents in writing to the selection of an alternative forum, any (i) derivative action or proceeding brought on behalf of the Company, (ii) action asserting a claim of breach of a fiduciary duty owed by any director, officer or other employee of the Company to the Company or the Company’s stockholders, (iii) action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law or the Company’s Certificate of Incorporation or the Amended and Restated Bylaws, or (iv) action asserting a claim governed by the internal affairs doctrine, be exclusively brought in the Court of Chancery in the State of Delaware or, if such court does not have subject matter jurisdiction thereof, the federal district court of the State of Delaware.
 

In addition, the Amended and Restated Bylaws provide that unless the Company consents in writing to the selection of an alternative forum, the federal district courts of the United States of America shall be, to the fullest extent permitted by law, the sole and exclusive forum for any action asserting a claim arising under the Securities Act.
