Dear Team,

A few weeks ago when there were rumors of Ginkgo going public I promised that when there was news we can share that I would be the first person to tell you. Well...

LOGO

I’m excited to let you all know that today we are announcing a merger with Soaring Eagle, a special purpose acquisition company (SPAC) to bring Ginkgo public. We expect to be funded with about $2.5 billion of new capital at a $15 billion pre-money equity valuation when the merger closes in the coming months.

Our mission is to make biology easier to engineer. This is a big mission that requires a lot of resources to build the best foundry, codebase, and ecosystem for cell programming. This round of investment along with the resources of a public company will help us continue to take a big swing at our mission, and it’s only possible thanks to the collective hard work that all of you do towards this goal.

Going public will help us expand our capabilities and work toward achieving our mission. It will not change our culture and our priorities. Please don’t let going public inadvertently become a reason to make Ginkgo suck!

Please join me at noon today for a virtual town hall meeting where we’ll be going over all this in more detail. We will also use Friday’s town hall for an AMA. We’ll also share a socially-distanced toast outside at Drydock, Wilson, and Moulton at 4pm Eastern this afternoon if you are on site.

Today, at 8am Eastern time, we’ll be releasing an official presentation describing this transaction to the public. You can see our slides and our presentation here.

There will be dragons,

Jason
