EXPLANATORY NOTE
This registration statement on Form S-8 (this “Registration Statement”) is filed by Rumble Inc. (the “Company” or “Registrant”) to register (a) 36,719,968 shares of the Registrant’s Class A common stock, par value $0.0001 per share (“Class A Common Stock”), which may be issued under the Rumble Inc. 2022 Stock Incentive Plan (the “Incentive Plan”), consisting of 26,219,972 shares of Class A Common Stock reserved and available for issuance under the Incentive Plan as of the date of this Registration Statement, plus 10,499,996 shares of Class A Common Stock, which is the maximum number of shares of Class A Common Stock that may become available for issuance under the Incentive Plan upon the release from escrow of the applicable Seller Escrow Shares and Tandem Option Earnout Shares upon the occurrence of each Triggering Event (each, as defined in the Incentive Plan) in accordance with the Incentive Plan, and (b) 86,752,760 shares of Class A Common Stock, which may be issued under the Rumble Inc. Second Amended and Restated Stock Option Plan (the “A&R Plan”), consisting of 58,165,382 shares of Class A Common Stock underlying stock options previously issued and outstanding under the A&R Plan as of the date of this Registration Statement, plus 28,587,378 shares of Class A Common Stock, which is the maximum number of shares of Class A Common Stock that may become available for issuance under the A&R Plan upon the release from escrow of the Tandem Option Earnout Shares in accordance with the Business Combination Agreement (as defined below). The Incentive Plan was approved by the Company’s board of directors on September 16, 2022 and approved by the Company’s stockholders on September 15, 2022. The A&R Plan was initially adopted by Rumble Inc. (n/k/a Rumble Canada Inc.), a corporation incorporated under the laws of the Province of Ontario (“Rumble Canada”), as the Rumble Inc. Stock Option Plan, on September 1, 2020 and was amended and restated on April 9, 2021 and again on October 21, 2021. The A&R Plan was assumed in its entirety by the Company and was amended and restated in its present form on September 16, 2022 (the “Restatement Date”) to reflect the assumption of the sponsorship of the A&R Plan. Upon the Restatement Date, each option that was outstanding under the A&R Plan immediately prior to the Restatement Date was cancelled and converted into a new option to purchase shares of Class A Common Stock in accordance with the exchange ratio set forth in the Business Combination Agreement. No additional awards will be made under the A&R Plan after the Restatement Date.
The Registrant was originally formed as a special purpose acquisition company under the name CF Acquisition Corp. VI for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination involving one or more businesses. On the Restatement Date, the Registrant completed its business combination with Rumble Canada pursuant to the Business Combination Agreement, dated December 1, 2021 (the “Business Combination Agreement”), by and between the Company and Rumble Canada. Following the closing of the transactions contemplated by the Business Combination Agreement, the Registrant changed its name from CF Acquisition Corp. VI to Rumble Inc.
