(the “Company”) that become issuable under the FTC Solar, Inc. 2021 Stock Incentive Plan (the “2021 Stock Incentive Plan”) or FTC Solar, Inc. 2017 Stock Incentive Plan, as amended to date (the “2017 Plan”), by reason of any future stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration by the Company that increases the number of outstanding shares of Common Stock.
