(1) | Each of these Offerpad Options vests and becomes exercisable with respect to one-third of the shares underlying the Offerpad Option upon our board’s good faith determination that the per share value of Offerpad’s common stock (on a fully-diluted basis) equals or exceeds three times (3x), four times (4x) and/or five times (5x), in each case, of the exercise price applicable to the Offerpad Option. On February 5, 2019, one-third (1/3) of the shares subject to these Offerpad Options vested in connection with Offerpad’s attainment of a per share value of $19.92, as determined by our board of directors. In addition, upon the closing of the Business Combination, these Offerpad Options accelerated and became fully vested and exercisable. |
