SUPPLEMENT TO PROXY STATEMENT DATED FEBRUARY 12, 2024

 

The following information supplements and amends the definitive proxy statement on Schedule 14A (the “Proxy Statement”) of Kingswood Acquisition Corp. (the “Company”) filed with the Securities and Exchange Commission (“Commission”) and first sent or given to stockholders of record of the Company’s common stock on or about February 12, 2024, in connection with the solicitation of proxies by the Company’s board of directors for the special meeting of stockholders of the Company scheduled to be held on February 22, 2024, at 10:00 a.m., Eastern Time (the “Special Meeting”), via live webcast at https://www.cstproxy.com/kingswoodacquisition/ext2024. Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to such terms in the Proxy Statement.

 

THIS SUPPLEMENT SHOULD BE READ IN CONJUNCTION WITH THE PROXY STATEMENT.

 

The Company is issuing this supplement to clarify that if the Extension Amendment Proposal is approved and the Extension is implemented, the greater of (a) $69,218.35, and (b) $0.05 per public share of the Company that is not redeemed in connection with the Special Meeting, in the aggregate and in full, will be deposited into the Trust Account within five (5) calendar days following the Special Meeting. Such amount is in addition to all amounts previously deposited into the Trust Account to extend the expiration date of the Company through February 24, 2024. Since the proposed Extended Date (i.e., March 15, 2024) is less than one month after February 24, 2024, no additional deposits are expected to be made for subsequent months.

 

Stockholders are being asked to vote only upon the Extension Amendment Proposal and, if presented, the Adjournment Proposal at the Special Meeting. A separate special meeting has been called for the purpose of allowing stockholders to vote upon, among other things, the Company’s initial business combination and related matters. If the Extension Amendment Proposal is approved and the Extension is implemented, stockholders who do not elect to redeem their public shares will retain their right to vote on the initial business combination at such other special meeting (provided that they are a stockholder on the record date therefor) and the right to redeem their public shares for cash in the event the initial business combination is approved and completed or the Company has not consummated an initial business combination by the Extended Date.

 

Stockholders who do not intend to redeem their public shares in connection with the Special Meeting, but who may intend to redeem their public shares in connection with such other special meeting, are encouraged to specify to Continental Stock Transfer & Trust Company that their redemption request not be considered for purposes of the Special Meeting.
