Item 7.01Regulation FD Disclosure.

 

CONX Corp. (the “Company”) announced the pricing on October 29, 2020 of its initial public offering of 75,000,000 units at a price of $10.00 per unit. The units will be listed on The Nasdaq Stock Market LLC (NASDAQ) and trade under the ticker symbol “CONXU” beginning on October 30, 2020. Each unit consists of one share of Class A common stock and one-fourth of one redeemable warrant, with each whole warrant exercisable to purchase one share of Class A common stock at a price of $11.50 per share. Only whole warrants will be exercisable. Once the securities comprising the units begin separate trading, the shares of Class A common stock and warrants are expected to be listed on the NASDAQ under the symbols “CONX” and “CONXW,” respectively. The offering is expected to close on November 3, 2020.

 

The Company is a blank check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses or assets. The Company intends to focus on businesses that operate within the Technology, Media and Telecommunications (“TMT”) sectors, including the wireless communications industry, and is led by Charles W. Ergen, the Company’s Chairman, and Jason Kiser, the Company’s Chief Executive Officer.

 

Deutsche Bank Securities Inc. is the underwriter of the offering. The Company has granted the underwriter a 45-day option to purchase up to an additional 11,250,000 units at the initial public offering price to cover over-allotments if any.
