Explanation of Responses:
1. Reflects shares of the Issuer's Class A common stock, par value $0.0001 per share ("Class A Shares") acquired by Morris Bailey for his personal account. These Class A Shares were acquired by Mr. Bailey directly through the Issuer's IPO, in the form of 1,000,000 Units. Each Unit consists of one Class A Share and one-half of one redeemable warrant, each whole warrant entitling the holder thereof to purchase one Class A Share at a price of $11.50 per share, subject to adjustment. The warrants included in the Units will become exercisable on the later of 30 days after the completion of the Issuer's initial business combination and 12 months from the closing of the Issuer's IPO.
2. Reflects the price paid for each Unit acquired in the Issuer's IPO.
3. Reflects shares of the Issuer's Class A Shares acquired directly in the Issuer's IPO by Bailey Grand Investments LLC ("Bailey Grand"). Morris Bailey is the managing member of Bailey Grand, and may be deemed to have beneficial ownership of the shares held of record by such entity. Mr. Bailey disclaims beneficial ownership of all shares of Common Stock held of record by Bailey Grand except to the extent of his pecuniary interest in such shares, if any, and this report shall not be deemed an admission that Mr. Bailey is the beneficial owner of, or has any pecuniary interest in, such securities for purposes of the Securities Exchange Act of 1934, as amended, or for any other purpose.
