(“we” or the “Company”) to comments received from the staff of the Division of Corporation Finance (the “Staff”) of the Securities and Exchange Commission (the “Commission”) letter dated April 22, 2021, with respect to the Company’s Registration Statement on Form S-4, File No. 333-252674 (the “Registration Statement”).

 

Concurrently with the submission of this letter, the Company is filing Amendment No. 2 to the Registration Statement on Form S-4 (the “Amendment No. 2”) in response to the Staff’s comments. RESPONSE:

 

In response to the Staff’s comment, the Company has revised the disclosure on page 29 of Amendment No. 2.

RESPONSE:

 

In response to the Staff’s comment, counsel has removed the assumptions in paragraph 6 of its legal opinion and refiled it as exhibit 5.1 to Amendment No. 2.
