Explanatory Note

This Amendment No. 1 to the Report of Foreign Private Issuer on Form 6-K originally filed by Fusion Fuel Green PLC on December 14, 2022 (the “Original Report”), the text of which is incorporated by reference herein, is being filed solely to include the following statement at the end of the first paragraph of the Original Report:

“The information contained in this Form 6-K, as amended, shall also be incorporated by reference in the Company’s registration statement on Form F-3 (File No. 333-251990) and the prospectus included therein.”

This Report on Form 6-K/A is hereby incorporated by reference into the Company’s registration statements on Form F-3 (File Nos. 333-251990 and 333-264714).

Except as set forth above, no other changes are being made to the Original Report.
