Entry Into a Material Definitive Agreement.

On October 29, 2021, Barkbox, Inc. entered into a lease agreement (the “Lease”) with 120 Broadway Holdings, LLC for the lease of approximately 51,220 square feet of office space on the 12th floor at 120 Broadway, New York, New York 10271 (the “Premises”).

The Company can take possession of the Premises on April 1, 2022 (the “Commencement Date”). The term of the lease will be for 197 months, starting on the Commencement Date and ending on September 30, 2038. Under the terms of the Lease Agreement, the Company will pay an annual fixed rent payable monthly of (i) $2,868,320 from the period commencing on the Commencement Date and ending on September 30, 3038, (ii) $3,175,640 from the period commencing on October 1, 2028 and ending on September 30, 2033 and (iii) $3,431,740 during the period commencing on October 1, 2033 and ending on September 30, 2038.
