Item 7.01 Regulation FD Disclosure.

As previously announced, Haymaker Acquisition Corp. III, a Delaware corporation (the “Company”), entered into a Business Combination Agreement (the “Business Combination Agreement”) with Haymaker Sponsor III LLC, a Delaware limited liability company, BioTE Holdings, LLC, a Nevada limited liability company (“Biote”), BioTE Management, LLC, a Nevada limited liability company, Dr. Gary Donovitz, in his individual capacity, and Teresa S. Weber, in her capacity as the members’ representative. The transactions contemplated by the Business Combination Agreement are referred to herein as the “Business Combination.” The Company has set May 24, 2022 as the date for a special meeting in lieu of the 2022 annual meeting of stockholders to, among other things, approve the Business Combination (the “Special Meeting”). The Business Combination is expected to close shortly after the Special Meeting, subject to receipt of the requisite Company stockholder approvals and certain other customary closing conditions.

On May 11, 2022, Biote issued a press release announcing its financial highlights for the three months ended March 31, 2022. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
