Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2023, Yongkyu Son informed SES AI Corporation (the “Company”) of his decision to resign from his position as Chief Technology Officer of the Company, effective September 30, 2023. In tendering his resignation, Mr. Son indicated that his departure is due to personal reasons and not due to any disagreement relating to the Company’s management, board of directors, operations, policies or practices.  The Company has commenced a search for Mr. Son’s successor as Chief Technology Officer. In the interim, Mr. Son’s prior responsibilities shall be assumed by Hong Gan and Daniel Li, the Company’s Chief Science Officer and Chief Manufacturing Officer, respectively.
