Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 26, 2024, Dr. Julius Few notified the board of directors (the "Board") of The Beauty Health Company (the "Company") of his decision to resign as a director of the Company, effective immediately. Prior to his resignation, Dr. Few also served on the Nominating and Corporate Governance Committee of the Board.

Dr. Few's resignation was not the result of any dispute or disagreement with the Company, its management, the Board, or any committee of the Board on any matter relating to the operations, policies, or practices of the Company.
