Item 8.01. Other Events.

 

On August 17, 2021, Jupiter Acquisition Corporation (the “Company”) completed its initial public offering (“IPO”) of 15,000,000 units (“Units”). Each Unit consists of one share of Class A common stock, par value $0.0001 per share (“Class A Common Stock”) and one-half of one redeemable warrant (“Warrants”), each whole Warrant entitling the holder thereof to purchase one share of Class A Common Stock at an exercise price of $11.50 per share, subject to adjustment, pursuant to the Company’s registration statement on Form S-1 (File No. 333-248411). The Units were sold at an offering price of $10.00 per Unit, generating gross proceeds of $150,000,000.

 

As previously reported on a Current Report on Form 8-K of the Company, on August 17, 2021, simultaneously with the consummation of the IPO, the Company completed a private placement of an aggregate of 580,000 units (the “Private Placement Units”) at a price of $10.00 per Private Placement Unit, generating total gross proceeds of $5,800,000 (the “Private Placement”). 

 

A total of $150,000,000 of the net proceeds from the IPO and the Private Placement was deposited in a trust account established for the benefit of the Company’s public stockholders. An audited balance sheet as of August 17, 2021 reflecting receipt of the proceeds upon consummation of the IPO and the Private Placement has been issued by the Company and is attached hereto as Exhibit 99.1.

 

In connection with the IPO, the Company granted the underwriters an over-allotment option to purchase up to 2,250,000 additional Units at $10.00 per Unit. On August 23, 2021, the underwriters notified the Company of their exercise of the over-allotment option in part to purchase 761,850 Units and forfeiture of the remaining portion of such option. The partial exercise of the over-allotment option is expected to close on August 25, 2021, subject to customary closing conditions, and generate gross proceeds of $7,618,500.
