Graphex Group Limited (the “Company” or “we”) is an issuer with its ordinary shares listed on The Stock Exchange of Hong Kong Limited (“HKSE”). Under the Rules Governing the Listing of Securities on the HKSE (“Listing Rules”), we are required to publish the announcement (the “Announcement”) regarding the Company entering into a subscription agreement with a subscriber for the issuance and sale of an aggregate of 43,689,383 ordinary shares of the Company under the definitive subscription agreement providing for, among other matters, the price and other terms summarized in, and subject to the conditions for closing, summarized in the Announcement that is attached to this Report.
