Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 19, 2024, Chad Curlett, Chief Operating Officer of MarketWise, Inc., a Delaware corporation (the “Company”), resigned from the Company. On August 23, 2024, in connection with the termination of Mr. Curlett’s employment, the Company and Mr. Curlett entered into a letter agreement regarding the terms of such termination of employment (the “Curlett Letter Agreement”). Pursuant to the Curlett Letter Agreement, Mr. Curlett will be eligible to receive, subject to his execution and non-revocation of a release of claims and continued compliance with the terms of the Curlett Letter Agreement, a separation payment equal to $100,000, payable in a lump sum. The Curlett Letter Agreement also provides that Mr. Curlett will be subject to a twelve-month post-termination non-solicit covenant as well as perpetual non-disparagement and confidentiality covenants.
