Item 8.01 Other Events.
As previously reported, on May 20, 2024, Eos Energy Enterprises, Inc. (the “Company”) received a deficiency letter from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that for the last 30 consecutive business days the bid price for the Company’s common stock had closed below the minimum $1.00 per share requirement for continued inclusion on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”).
On July 9, 2024, the Company received written notice from Nasdaq notifying the Company that it had regained compliance with the Bid Price Rule as of July 9, 2024, based on the closing bid price of the Company’s common stock being at or above $1.00 per share for the 10 consecutive business days from June 24, 2024, through July 8, 2024. Accordingly, Nasdaq considers the matter closed.
On July 11, 2024, the Company issued a press release announcing its receipt of the written notice. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
