PART III — NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Lionheart Acquisition Corporation II (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2021 (the “Q1 2021 Form 10-Q”) by the prescribed due date for the reasons described below.

 

On April 12, 2021, the Acting Director of the Division of Corporation Finance and Acting Chief Accountant of the Securities and Exchange Commission (the “SEC”) together issued a statement regarding the accounting and reporting considerations for warrants issued by special purpose acquisition companies entitled “Staff Statement on Accounting and Reporting Considerations for Warrants Issued by Special Purpose Acquisition Companies (“SPACs”)” (the “SEC Guidance”). Following review of the SEC Guidance, the Company reevaluated the accounting treatment of its (i) 11,500,000 redeemable warrants (the “Public Warrants”) that were included in the units issued by the Company in its initial public offering (the “IPO”) and (ii) the 325,000 privately issued warrants (together with the Public Warrants, the “Warrants”) that were included in the units issued in a private placement that closed concurrently with the closing of the IPO, and determined that the Warrants should be, and should have been, classified as derivative liabilities measured at fair value, with changes in fair value each period reported in earnings.

 

The Company is currently determining the extent of the SEC Guidance’s impact on its financial statements, including the financial statements as of and for the fiscal quarter ended March 31, 2021 included in the Q1 2021 Form 10-Q, and is working diligently to complete the Q1 2021 Form 10-Q as soon as possible. However, given the scope of the process for determining the appropriate treatment of the Warrants in accordance with the SEC Guidance, the Company is unable to complete and file the Q1 2021 Form 10-Q by the required due date of May 17, 2021 without unreasonable effort and expense. The Company does, however, expect to file such report within five calendar days thereof.
