Item 8.01.

Other Events.

On August 18, 2021, Opendoor Technologies Inc. (the “Company”) issued a press release announcing the pricing of its offering of $850,000,000 aggregate principal amount of 0.25% convertible senior notes due 2026 (“Convertible Notes”). The Company also granted to the initial purchasers an option to purchase up to an additional $127,500,000 aggregate principal amount of Convertible Notes. The Convertible Notes will be sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
