Item 8.01. Other Events.

 

On August 26, 2021, Brilliant Acquisition Corporation (the “Company”) received a notice from the Listing Qualifications Department of the Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) because it has not yet filed its Quarterly Report on Form 10-Q for the quarter ended June 30, 2021 (the “Q2 2021 Form 10-Q”) with the Securities and Exchange Commission (the “SEC”) on or before August 16, 2021. Nasdaq Listing Rule 5250(c)(1) requires listed companies to timely file all required periodic financial reports with the SEC.

 

Nasdaq has informed the Company that, under the Nasdaq’s listing rules, the Company has until October 26, 2021 to submit a plan to regain compliance with respect to these delinquent reports. The Nasdaq notice has no immediate impact on the listing or trading of the Company’s units, common stock or warrants on Nasdaq.

 

As previously reported by the Company in its Form 8-K filed with the SEC on April 19, 2021, the Company is currently determining the extent to which the April 12, 2021 statement released by the Staff of the SEC relating to the accounting and reporting considerations for warrants issued by special purpose acquisition companies (“SPACs”) will impact its financial statements as of and for the fiscal quarter ended June 30, 2021, which will be included in the Q2 2021 Form 10-Q.

 

The Company is currently conducting this analysis and, as such, is unable to timely file its Q2 2021 Form 10-Q until the assessment, and any modifications or restatements of the Company’s periodic reports, should any be necessary, are complete and accepted by its auditor. The Company is working diligently to complete the Q2 2021 Form 10-Q and expects to file such report as soon as practicable. While the Company has already started its assessment of the relevant warrant provisions as described above, it also intends to promptly file a plan of compliance with Nasdaq and to complete the assessment of its warrants and filing of its Annual Report on Form 10-K for the year ended December 31, 2020, its Quarterly Report on Form 10-Q for the quarter ended March 31, 2021 (the “Q1 2021 Form 10-Q”) and Q2 2021 Form 10-Q soon as practicable. On August 31, 2021, the Company issued a press release announcing the receipt of the notice of non-compliance from Nasdaq. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
