Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 29, 2020, Adam J. Fountain, Executive Vice President of Broadmark Realty Capital Inc. (the “Company”), notified the Company of his intention to resign to pursue other interests.  The effective date of his resignation has not been determined as of the date of this filing.
