Mingzhu Logistics Holdings Ltd., (the “Registrant”) was unable, without unreasonable effort or expense, to file its Annual Report on Form 20-F for the fiscal year ended December 31, 2020 (the “Annual Report”) by April 30, 2021, the filing date applicable to foreign private issuers due to a delay experienced by the Registrant in completing its financial statements. The Registrant anticipates that it will file the Annual Report no later than the fifteenth calendar day following the prescribed filing date.

Total revenues for the year ended December 31, 2021 are expected to be approximately 36% lower than the comparable period in the prior year. This decrease is primarily due to the decline in revenues generated in Xinjiang Province. Because we have not completed our financial statements, we are unable to provide further more reasonable estimate of our results of operations for the year ended December 31, 2020.
