Item 8.01 Other Events.

On December 21, 2023, Third Coast Bancshares, Inc. issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $17.25 per share on it 6.75% Series A Convertible Non-Cumulative Preferred Stock. The dividend is payable on January 16, 2024 to holders of record at the close of business on December 31, 2023.

HOUSTON, Texas, December 21, 2023 – Third Coast Bancshares, Inc. (NASDAQ: TCBX), the holding company of Third Coast Bank, SSB, today announced that its Board of Directors has declared a quarterly cash dividend of $17.25 per share on its 6.75% Series A Convertible Non‑Cumulative Preferred Stock. The dividend is payable on January 16, 2024 to holders of record at the close of business on December 31, 2023.
