Item 2.02 Results of Operations and Financial Condition.
On May 8, 2024, Lulu’s Fashion Lounge Holdings, Inc. (“Lulus”) issued a press release containing Lulus’ financial results for its first quarter ended March 31, 2024 and updating its financial outlook for full year 2024. A copy of Lulus’ press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.
In addition, on May 8, 2024, Lulus issued a press release announcing that its Board of Directors has authorized a stock repurchase program of up to $2.5 million of Lulus common stock. The repurchases will be made at the discretion of management from time to time in the open market, depending on market conditions, or through privately negotiated transactions, subject to the requirements of the Securities Exchange Act of 1934, as amended, and related rules. The timing and amount of any shares purchased in the open market or through privately negotiated transactions will be determined based on the Company’s evaluation of market conditions, share price and other factors. The stock repurchase program does not obligate the Company to purchase any shares, and the program may be modified, suspended or terminated at any time and for any reason. No shares will be purchased directly from directors or officers of Lulus as part of the stock repurchase program. The stock repurchase program is open-ended in term and will continue until exhausted or terminated.
