This certificate is notice that the above-named company has issued, renewed, or guaranteed the security or securities described herein, which issue, renewal or guaranty was exempted from the provisions of Section 6(a) of the Public Utility Holding Company Act of 1935, and was neither the subject of a declaration or application on Form U-1 nor included within the exemption provided by Rule U-48, [Reg.Section 250.48, paragraph 36,621].

  The First Mortgage Bonds will be secured by the lien of the Company’s Mortgage and Deed of Trust, dated May 1, 1940, with The Bank of New York (formerly Irving Trust Company) and Frederick G. Herbst (Douglas J. McInnes, successor), as Trustees.

  We expect to use the net proceeds from the sale of the bonds of approximately $395.4 million, after deducting underwriting discounts and estimated offering expenses, as follows:

    °        approximately $237.5 million to repay our outstanding commercial paper balance;

    °        approximately $16.6 million to repay the outstanding balance of our notes payable to affiliated companies; and

    °        the remainder for general corporate purposes.
