Item 5.07 Submission of Matters to a Vote of Security Holders
At the Extraordinary General Meeting in Lieu of an Annual General Meeting (the “Extraordinary General Meeting”), which was held on January 13, 2021, holders of 20,374,378 Class A ordinary shares and Class B ordinary shares (collectively, the “ordinary shares”) of Silver Spike Acquisition Corp. (“Silver Spike” or the “Company”), which represents approximately 65% of the ordinary shares outstanding and entitled to vote as of the record date of December 18, 2020, were represented in person or by proxy.
At the Extraordinary General Meeting, (1) the shareholders approved an amendment to the Amended and Restated Memorandum and Articles of Association of the Company (the “Extension Amendment” and such proposal the “Extension Amendment Proposal”) to extend the date by which, if the Company has not consummated a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses (a “business combination”), the Company must (i) cease all operations except for the purpose of winding up, (ii) redeem all of the Company’s Class A ordinary shares included as part of the units sold in the Company’s initial public offering that was consummated on August 19, 2019 and (iii) liquidate and dissolve, from February 12, 2021 to July 10, 2021 and (2) the holders of Class B ordinary shares of the Company approved the re-appointment of Scott Gordon and William Healy as Class 1 Directors, with each such director to serve until the second annual general meeting following the Extraordinary General Meeting and, in each case, until his successor is appointed and qualified (the “Director Appointment Proposal”). A copy of the Extension Amendment is attached to this Current Report on Form 8-K as Exhibit 3.1 and incorporated herein by reference.

In connection with the vote to approve the Extension Amendment Proposal, the holders of 1,425 Class A ordinary shares properly exercised their right to redeem their shares for cash at a redemption price of approximately $10.17 per share, for an aggregate redemption amount of approximately $14,489 in connection with the Extension Amendment Proposal.
The approval of the Extension Amendment will provide an opportunity for the Company’s shareholders to evaluate the Company’s proposed business combination with WM Holding Company, LLC (“WMH”), which was announced on December 10, 2020.
Additional Information About the Proposed Business Combination and Where To Find It
In connection with the proposed extension of the date by which Silver Spike must consummate an initial business combination, Silver Spike filed with the SEC a definitive proxy statement, dated December 21, 2020 (the “Extension Proxy Statement”).
The proposed business combination will be submitted to shareholders of Silver Spike for their consideration. Silver Spike intends to file a registration statement on Form S-4 (the “Registration Statement”) with the SEC which will include preliminary and definitive proxy statements to be distributed to Silver Spike’s shareholders in connection with Silver Spike’s solicitation for proxies for the vote by Silver Spike’s shareholders in connection with the proposed business combination and other matters as described in the Registration Statement, as well as the
prospectus relating to the offer of the securities to be issued to WMH’s equityholders in connection with the completion of the proposed business combination. After the Registration Statement has been filed and declared effective, Silver Spike will mail a definitive proxy statement and other relevant documents to its shareholders as of the record date established for voting on the proposed business combination. RESOLUTIONS OF THE SHAREHOLDERS OF THE COMPANY
It is resolved as a special resolution THAT, effective immediately, the Amended and Restated Memorandum and Articles of Association of the Company be amended by:
(a) amending Article 49.6(a) by deleting the following introduction of such sub-section:
“the Company does not consummate a Business Combination by 18 months after the closing of the IPO” and replacing it with the following:
“the Company does not consummate a Business Combination by July 10, 2021”; and
(b) amending Article 49.6(b) by deleting the words:
“within 18 months from the consummation of the IPO”
and replacing them with the words:
“by July 10, 2021”
