Item 1.01. Entry into a Material Definitive Agreement

On September 30, 2019, a wholly owned subsidiary (the "Borrower") of Sunnova Energy International Inc., a Delaware corporation (the "Company"), entered into Amendment No. 2 to the Amended and Restated Credit Agreement (the "Amendment"), which amends that certain Amended and Restated Credit Agreement, dated as of March 27, 2019, as previously amended (the "Credit Agreement"), by and among the Borrower, certain other subsidiaries of the Company, Credit Suisse AG, New York Branch, as agent, and the lenders and other financial institutions party thereto.

The Amendment amended the Credit Agreement to, among other things, (i) modify borrowing base eligibility criteria for solar loans relating to permitted term to maturity, minimum required rates of interest and obligor requirements, (ii) modify the calculation of the amount required to be deposited into the liquidity reserve account, (iii) temporarily increase the concentration limit for eligible solar loans for which the underlying solar equipment is located in Puerto Rico, (iv) permit the financing of roof replacement, landscaping and related upgrading costs and (v) modify the definition of “change of control” to reflect an update in subsidiary ownership.
