EXPLANATORY NOTE

Nanobiotix S.A. (the “Company”) is furnishing this Current Report on Form 6-K to provide (i) an English translation of its by-laws (statuts) as amended on April 28, 2021 and (ii) its Operating and Financial Review and Prospects with respect to its unaudited consolidated financial statements for the six-month periods ended June 30, 2021 and 2020, which were previously furnished as Exhibit 99.1 to the Company’s Current  Report on Form 6-K on September 8, 2021.
