The Registrant is unable to file its Form 10-K for the year ended December 31, 2021 within the prescribed time period without unreasonable effort or expense because the Registrant’s independent registered public accounting firm is in the process of completing the audit of the financial statements for the period ended December 31, 2021 and will need additional time to complete its audit of such financial statements. The Registrant anticipates that it will file its Form 10-K within the fifteen-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

For the years ended December 31, 2021 and 2020, respectively, the Registrant had a net loss of approximately $3 million and $0.2 million, respectively, which consists of operating costs of approximately $2 million and $0.8 million, and increase in fair value of derivative warrant liabilities of approximately $0.8 million and $0.2 million respectively, offset by interest income of $13,028 and $833,973 on marketable securities. The amounts reported above are still under review by the Registrant’s independent registered public accounting firm and may differ once reported in the Form 10-K to be filed by the Registrant.
