Item 1.01. Entry into a Material Definitive Agreement.
On July 24, 2023, Postal Realty Trust, Inc. (the “Company”), Postal Realty LP (the “Borrower”), certain subsidiaries of the Company, Bank of Montreal, as administrative agent (the “Administrative Agent”), and certain lenders party to the Credit Agreement (as defined below) entered into that certain Second Amendment to Credit Agreement (the “Second Amendment”), which amends that certain Credit Agreement dated as of August 9, 2021, entered into by and among the Company, the Borrower, certain subsidiaries of the Company, the Administrative Agent and the lenders party thereto (as previously amended and as amended by the Second Amendment, the “Credit Agreement”). Capitalized terms used below and not defined herein have the meanings ascribed to them in the Credit Agreement.
The Second Amendment added, among other things, a daily simple SOFR-based option to the term SOFR-based floating interest rate option as a benchmark rate for borrowings under the Credit Agreement. Concurrently with the execution of the Second Amendment, the Company also exercised $25.0 million of accordion under the term loan maturing in January 2027 and, on a delayed-draw basis, $10.0 million of accordion under the term loan maturing in February 2028.
The foregoing summary of the Second Amendment and the Credit Agreement does not purport to be complete and is qualified in its entirety by reference to the Second Amendment, a copy of which is attached as Exhibit 10.1 and is incorporated herein by reference.
