Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 24, 2023, Robin L. Smith, MD, a Class II member of the board of directors of Celularity Inc., or Celularity, notified the board of directors of her intention to resign as a member of the board effective December 24, 2023. Dr. Smith’s decision to resign was not reported to be due to any disagreement with Celularity on any matter, or relating to its operations, policies, or practices.
