Item 1.01 Entry into a Material Definitive Agreement
 
On September 10, 2020, Nuveen Churchill Direct Lending Corp. (the “Company”) entered into a Revolving Credit Agreement (together with the exhibits and schedules thereto, the ‘‘SMBC Credit Facility’’) between the Company, as the borrower (the “Borrower”), and Sumitomo Mitsui Banking Corporation (“SMBC”), as the administrative agent for certain secured parties, the syndication agent, the lead arranger, the book manager, the letter of credit issuer and the lender, which is structured as a revolving credit facility secured by the capital commitments of the Company’s subscribed investors and certain related assets.

The SMBC Credit Facility will mature on September 10, 2021, if not further extended by that date, and has a maximum facility amount of $30.0 million. Under the SMBC Credit Facility, the Company is permitted to borrow up to the lesser of $30.0 million and the Borrowing Base. The “Borrowing Base” is based upon the unfunded capital commitments of subscribed investors in the Company that have been approved by SMBC and meet certain criteria (the “Included Investors”). The advance rate for the Included Investors is 90%. The SMBC Credit Facility contains certain customary affirmative and negative covenants and events of default. The SMBC Credit Facility bears interest at a rate of LIBOR plus 1.75% per annum, the CDOR Rate or the Alternative Base Rate.
