Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On and effective May 31, 2022, the Board of Directors of Nikola Corporation (the “Company”) adopted an amendment to the amended and restated bylaws of the Company (the “Amended Bylaws”) to update the adjournments provision. The adjournments provision in Section 2.8 of the Amended Bylaws changed the authority to adjourn a meeting of stockholders from a majority of the stockholders present in person or represented by proxy at the meeting and entitled to vote or any officer entitled to preside at such meeting, to the chairperson of the meeting, a majority of the stockholders present in person or represented by proxy at any meeting of stockholders and entitled to vote or any officer entitled to preside at such meeting, regardless if a quorum is not present or represented.
