Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On April 12, 2022, Sooyean (Sophia) Jin, a member of the board of directors (the “Board”) of Nikola Corporation (the “Company”), informed the Company of her decision not to stand for re-election as a member of the Board at the Company’s upcoming 2022 annual meeting of stockholders (the “Annual Meeting”).

The Board decreased the size of the Board to nine directors, effective as of the date of the Annual Meeting.
