Item 1.01. Entry into a Material Definitive Agreement.

On May 28, 2024, Viemed, Inc. (the “Borrower”), and certain subsidiaries of the Borrower, as guarantors (the "Guarantors"), all of which are wholly-owned subsidiaries of Viemed Healthcare, Inc. (the "Company"), entered into a First Amendment (the "First Amendment") to the Credit Agreement dated as of November 29, 2022 (the "Credit Agreement") by and among the Borrower, the Guarantors, Regions Bank, as administrative agent and collateral agent, and the other lenders party thereto.

Pursuant to the First Amendment, the Credit Agreement was amended to (a) extend the Borrower's delayed draw term loan commitment expiration date to November 29, 2025, from its initial expiration date of May 29, 2024, and (b) provide for other technical amendments.

The foregoing description of the First Amendment and the Credit Agreement is qualified in its entirety by reference to the First Amendment and the Credit Agreement, copies of which are attached hereto as Exhibits 10.1 and 10.2, respectively, and incorporated by reference herein.
