Item 1.01. Entry into a Material Definitive Agreement.

 

On August 11, 2023, Nxu, Inc., a Delaware corporation (the “Company”), consummated a public offering (the “Offering”) of an aggregate of 16,666,667 units (the “Units”) at an effective public offering price of $0.30 per Unit, resulting in aggregate gross proceeds of approximately $5 million. Each unit consists of (i) one share of Class A common stock, $0.0001 par value per share (“Class A common stock”), of the Company and (ii) one warrant to purchase two shares of Class A common stock (the “Warrants”), each such Warrant being exercisable from time to time for two shares of Class A common stock at an exercise price of $0.30. We also offered to each investor in Units that would otherwise result in the investor’s beneficial ownership exceeding 4.99% of our outstanding Class A common stock immediately following the consummation of the Offering the opportunity to invest in Units consisting of one pre-funded warrant to purchase one share of Class A common stock (“Pre-Funded Warrant”) (in lieu of one share of Class A common stock) and one Warrant. The Warrants are immediately exercisable and will expire three (3) years after the date of issuance. The Pre-Funded Warrants are immediately exercisable (subject to the beneficial ownership cap) and may be exercised at any time until all of the Pre-Funded Warrants are exercised in full. The shares of Class A common stock (or pre-funded warrants in lieu thereof) and Warrants included in each Unit were issued separately and were immediately separable upon issuance.

 

In connection with the Offering, on August 8, 2023, the Company entered into a securities purchase agreement (the “Purchase Agreement”) with certain investors named therein (the “Purchasers”), and a placement agency agreement (the “Placement Agency Agreement”) with A.G.P./Alliance Global Partners and Maxim Group LLC (the “Placement Agents”), pursuant to which the Company agreed to issue and sell the Units and the Placement Agents agreed to act as placement agents on a “best efforts” basis in connection with the Offering. The Company paid the Placement Agents an aggregate fee equal to 8.0% of the gross proceeds raised in the Offering. The Company reimbursed the Placement Agents for their accountable offering-related legal expenses in an amount of $75,000, paid the Placement Agents a non-accountable expense allowance of $10,000 and paid Maxim Group LLC a one-time advisory fee of $50,000.

 

The Purchase Agreement and Placement Agency Agreement contain customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company, the Purchasers or the Placement Agent, as the case may be, other obligations of the parties and termination provisions. In addition, pursuant to the terms of the Placement Agency Agreement, the executive officers and directors of the Company have entered into agreements providing that each such person may not, without the prior written consent of the Placement Agent, subject to certain exceptions, offer, issue, sell, transfer or otherwise dispose of the Company’s securities for a period of thirty (30) days following the closing date of the Offering.

 

A registration statement on Form S-1 (the “Registration Statement”) relating to the Offering (File No. 333-272793) was initially filed with U.S. Securities and Exchange Commission (the “SEC”) on June 21, 2023 and was declared effective by the SEC on August 8, 2023. The Offering was made by means of a prospectus forming a part of the effective Registration Statement.

   

The Company intends to use the net proceeds of the Offering primarily for general corporate purposes, which may include, but is not limited to, investment in raw materials and operating expenses. In addition, the Company may be required to use up to 40% of the gross proceeds from the Offering to prepay its outstanding convertible notes at the option of the holders of such notes.
