Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 23, 2021, Daniel Horwood notified Ra Medical Systems, Inc. (the “Company”) that he will resign as the Company’s General Counsel and Secretary, effective July 30, 2021.  Mr. Horwood’s resignation is not the result of any disagreement with the Company or its Board of Directors or any matter relating to the Company’s operations, policies, or practices.  The Company expects to enter into a Separation Agreement with Mr. Horwood that will provide Mr. Horwood with benefits consistent with the terms of Mr. Horwood’s Change in Control and Severance Agreement dated October 24, 2018, which has been filed as Exhibit 10.1 to the Company’s Quarterly Report on Form 10-Q for the period ended September 30, 2018, with the Securities and Exchange Commission on November 14, 2018 (the “Severance Agreement”). The Severance Agreement provides for six months of salary and six months of COBRA benefits in exchange for signing a standard release of claims.
