Item 5.02          Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Robert Sheft has resigned from the Board of Directors (the “Board”) of GreenSky, Inc., effective as of October 29, 2021, to pursue other interests.  Mr. Sheft served as a member of the Audit Committee and the Compensation Committee of the Board. The Board has appointed Mr. Gregg Freishtat as a member of the Audit Committee to fill the vacancy on the Audit Committee resulting from Mr. Sheft's resignation.
