Item 1.01. Entry into a Material Definitive Agreement.

 

Amendment No. 3 to Investment Management Trust Agreement

 

On March 30, 2020, Gordon Pointe Acquisition Corp. (the “Company”) and Continental Stock Transfer & Trust Company (“Continental”) entered into Amendment No. 3 to the Investment Management Trust Agreement, dated as of January 24, 2018, as amended by Amendment No. 1 to the Investment Management Trust Agreement, dated as of July 26, 2019 and Amendment No. 2 to the Investment Management Trust Agreement, dated as of January 24, 2020 (the “Trust Amendment”), pursuant to which the date on which Continental must liquidate the trust account which was established in connection with the Company’s initial public offering (the “IPO”), in the event the Company has not consummated its initial business combination, was extended from March 30, 2020 to May 14, 2020 (the “Extended Date”). The Trust Amendment was approved by the Company’s stockholders at a Special Meeting of Stockholders held on March 30, 2020 (the “Special Meeting”).

 

The foregoing description of the Trust Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Trust Amendment, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.

 

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On March 31, 2020, the Company received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Markets (“Nasdaq”) stating that the Nasdaq Staff had determined to grant the Company an extension of time to regain compliance with Listing Rule 5550(a)(3) (the “Public Holder Rule”) and Listing Rule 5620(a) (the “Annual Meeting Rule”). As previously disclosed, the Company had received separate written notices from Nasdaq stating that the Company did not meet the requirements of the Public Holder Rule or the Annual Meeting Rule. The Company submitted its original plans of compliance on December 18, 2019 and February 21, 2020. In connection with the extension of the deadline within which the Company must consummate its initial business combination, the Company submitted a supplemental plan of compliance to Nasdaq on March 20, 2020. Based on the review of the materials submitted by the Company, Nasdaq determined to grant the Company an extension until May 4, 2020 to regain compliance with the Public Holder Rule and the Annual Meeting Rule.

 

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On April 1, 2020, the Company filed with the Secretary of State of the State of Delaware an amendment (the “Extension Amendment”) to the Company’s Amended and Restated Certificate of Incorporation, as previously amended, pursuant to which the date by which the Company must consummate its initial business combination was extended from March 30, 2020 to the Extended Date (the “Extension”). The Extension Amendment was approved by the Company’s stockholders at the Special Meeting and became effective upon the filing thereof with the Secretary of State of the State of Delaware.

Item 5.07 Submission of Matters to a Vote of Security Holders.

 

The results of voting on the proposals submitted to a vote of the Company’s stockholders at the Special Meeting, held on March 30, 2020, were as follows:

Item 7.01 Regulation FD Disclosure.

 

In connection with the Extension, stockholders elected to redeem 4,511,020 shares of the Company’s Class A common stock issued in the IPO, par value $0.0001 per share (the “public shares”). As of April 1, 2020, following such redemptions and the deposit of the Contribution described below, the amount of funds remaining in the trust account is approximately $38.0 million. Accordingly, the pro rata portion of the funds available increased from approximately $10.70 per public share to approximately $10.76 per public share. Further, following such redemptions, the Company had 8,042,536 shares of common stock issued and outstanding, consisting of 3,531,516 public shares and 3,125,000 Class F common shares.

 

As indicated in the Company’s proxy materials relating to the Special Meeting, the Company’s sponsor had agreed that, if the Extension was approved, the sponsor would contribute to the Company, for deposit into the Company’s trust account, $0.06 for each public share that is not redeemed in connection with the stockholder vote to approve the Extension. Accordingly, on March 30, 2020, the Company’s sponsor contributed, as a loan, an aggregate of $211,890.96 (the “Contribution”) to the Company, which amount was deposited into the Company’s trust account.

In connection with the proposed business combination between the Company and HOF Village, LLC (“HOFV”), the Company’s wholly-owned subsidiary GPAQ Acquisition Holdings, Inc. (“Holdings”) has filed with the SEC Post-Effective Amendment No. 2 to Registration Statement on Form S-4, which was declared effective on March 24, 2020, for the Holdings securities to be issued to the security holders of the Company and the members of HOF Village Newco, LLC at the closing of the business combination, which includes a proxy statement/prospectus and other documents concerning the proposed business combination and related matters (the “Registration Statement and Merger Proxy Statement”).
