Item 8.01.
Other Events.
As previously disclosed, on June 25, 2019, VICI Properties Inc. (the “Company”) entered into a series of forward sale agreements with several counterparties (the “Forward Sale Agreements”) relating to an aggregate of 65,000,000 shares of the Company’s common stock, $0.01 par value per share (the “Common Stock”). On June 2, 2020, the Company physically settled the Forward Sale Agreements in full by delivering 65,000,000 shares of Common Stock, in exchange for total net proceeds of approximately $1.3 billion. Following such settlement, the Company had 533,667,755 shares of Common Stock outstanding.
