Item 1.01 Entry into a Material Definitive Agreement.

On September 11, 2023, Spark Networks Services GmbH (the “Company”) and Hexaware Technologies Limited (the “Vendor”) fully executed a Master Services Agreement (the “Agreement”) and Statement of Work (the “SOW”) under which the Company agreed to outsource a number of its information technology and business operations to the Vendor. Those operations include service desk and end user support, IT vendor management, network support, content moderation and product engineering.




The Agreement and the SOW memorialize an arrangement that was contemplated under a letter of intent between the parties that was executed on July 24, 2023.

The Agreement contains standard representations, warranties, covenants and indemnification obligations. The Agreement allows the Company to terminate the Agreement and the SOW for convenience and for cause. Absent any such termination, the initial term of the SOW is scheduled to continue until December 31, 2028.
