State below in reasonable detail the reasons why Forms 10-K, 11-K, 10-Q, 10-D, N-SAR, N-CSR or the transition report portion thereof, could not be filed within the prescribed time period.
 
Spark Networks SE (the “Company”) has determined that it is unable to file its quarterly report on Form 10-Q for the period ended June 30, 2021 within the prescribed time period due to its difficulty in completing and obtaining required financial and other information without unreasonable effort and expense. The Company is working to file its Form 10-Q on or before the fifth calendar day extension provided by Rule 12b-25.

The Company anticipates a non-cash impairment charge for the quarter ended June 30, 2021, which will be reflected in operating costs and expenses in our condensed consolidated statement of operations, representing a significant change from the corresponding period in the last fiscal year. The Company is unable to quantify the impact as the preparation of financial statements is still in progress.
